Job Title: Senior Assistant Company Secretary

Location: Stirling Square, London: We offer a range of hybrid and flexible working arrangements – please speak to your recruiter about the options for this particular role.

Salary: £100,000 plus depending on experience + executive benefits

What you’ll be doing:

Subsidiary governance

  • Responsible for good governance of the Group’s subsidiary portfolio
  • Act as Company Secretary for designated subsidiaries
  • Ownership of the subsidiary governance framework, ensuring framework communicated to all relevant stakeholders
  • Support and counsel senior stakeholders, directors and officers of the Group’s subsidiaries on governance matters, company law and relevant regulations
  • Manage and direct relevant workload, assisting colleagues with re-calibrating and reallocating workload to meet business needs
  • Oversee the activities in respect of the Group’s subsidiaries, including board meetings, drafting proposals and resolutions, producing minutes, preparation and submission of statutory and regulatory filings, as well as corporate authorities
  • Responsible for the Director Induction programmes and governance related training for subsidiary company directors
  • Lead on the company secretarial aspects of subsidiary corporate events, and any other finance, property, treasury or tax related projects
  • Efficient management of the Group’s corporate structure (incorporations, strike-offs and liquidations)

Corporate Governance

  • Support the department in maintaining awareness and knowledge of developing and emerging best practice, new legislation, regulatory and corporate governance changes
  • Manage aspects of plc governance reporting, including supporting on the Annual Report process
  • Advise on Company Law affecting preparation of statutory accounts and reviewing Directors’ Reports and Accounts for compliance and accuracy
  • Review Articles of Association and proposed changes thereto of new/existing subsidiary companies overseas for acceptability/practicality
  • Leading the AGM preparation project

Your skills and experiences:

  • Chartered Governance Institute (CGI or equivalent) qualified with proven post-qualification experience in a corporate secretariat function (experience working with a plc is an advantage)
  • Thorough knowledge of Companies Act 2006 and all ancillary regulations along with company secretarial practices and procedures
  • In-depth understanding of relevant regulations, including Disclosure Guidance & Transparency Rules, Listed Rules, UK Governance Code, EU Market Abuse Regulation and Shareholder Rights Directive
  • Good knowledge of Blueprint/GEMS and Microsoft Office
  • Demonstrate leadership experience in effectively guiding teams

The Legal Team:

This role sits within our Head Office Legal function. You will be supporting various BAE Systems key stakeholders up to board level, in a role where every day is different!
