Job Title: Assistant Company Secretary

Salary: Circa £80,000 plus executive benefits

What you’ll be doing:

You’ll support the Senior Assistant Company Secretary in managing day-to-day plc corporate matters, including preparing briefing materials on regulatory and governance developments. You’ll lead a global corporate governance change project, contribute to ad hoc initiatives, and identify ways to improve processes and ways of working. You’ll ensure compliance with statutory, regulatory, and governance requirements, keeping up to date with emerging best practice and legislation, while advising Directors and Corporate Secretariat team members on company law, Articles of Association, Group policies, and governance processes.

You’ll provide specialist insight on governance across the Group’s subsidiaries, supporting senior stakeholders on company secretarial matters, governance best practice initiatives, and authorised signatory arrangements. You’ll organise and service subsidiary board meetings, prepare agendas, papers, and minutes, and manage company incorporations, statutory filings, and legal entity records. You’ll also oversee subsidiary-related projects, ensuring accurate governance, company law compliance, and record-keeping.

You’ll coach and mentor junior team members, providing guidance on governance and company secretarial practices, while helping colleagues prioritise and reallocate workloads as business needs change. You’ll support shareholder and share plan processes, maintaining accurate records of share capital and statutory corporate documentation. You’ll also keep up to date with developments in company secretarial practice, IT solutions, and knowledge management, identifying opportunities to enhance governance processes and team effectiveness.

Core duties:

  • You’ll hold a Chartered Governance Institute (CGI) qualification or equivalent and have substantial experience in a corporate secretariat function
  • You’ll have experience in a listed company environment, ideally within a large multinational organisation
  • You’ll possess in-depth knowledge of legislation and regulatory requirements for UK listed companies, with proven expertise in corporate governance and compliance
  • You’ll demonstrate the ability to build and maintain effective relationships with internal and external stakeholders, including administrators and service providers, ensuring high-quality service delivery
  • You’ll be confident coaching colleagues, leading projects, and implementing continuous improvements to governance processes and ways of working

The Legal Team:

This role sits within the legal Company Secretariat team at Head Office, reporting to the Senior Assistant Company Secretary, and plays a crucial part in group subsidiary compliance and corporate governance. The team is responsible for ensuring best practices in all relevant legal and regulatory requirements, providing expert advice on a range of matters, from company law to corporate governance and regulatory compliance. You will work within a dynamic team, offering the opportunity to make a significant impact and grow professionally.
