Job Description: Head of Legal & Compliance USM Business Unical Aviation, a Satair company, is a global supplier of Used Serviceable Material (USM), along with its subsidiaries, Unical 145 and ecube, which specializes in aircraft storage and disassembly services, with facilities in the United States, the United Kingdom and Spain. The Unical team is seeking a Head of Legal & Compliance to join the team in one of the following locations:
Glendale, Arizona
Boca Raton, Florida
Herndon, Virginia
In this role you will Lead the legal and compliance function of Satair’s used-serviceable material (USM) business. Primary Responsibilities: Management and Reporting: 25%
Provide strategic support and advice to the CEO and senior leadership team of the USM business on all legal and compliance matters
Report to and coordinate with functional managers and counterparts in the Airbus group legal and compliance function
Manage and maintain a team of approximately 8-10 legal and compliance personnel
Manage the engagement, budget and oversight of approved external legal counsel
Contracts: 20%
Oversee the contracts function for the USM business
Draft, review, and negotiate contract documents for sales, procurement, leasing, consignment, repair and overhaul, teardown services and other commercial transactions relating to USM parts and services
Manage deal closings and CP documentation for aircraft, airframe and engine purchase and leasing transactions
Implement and oversee a contract management system, including use of a CLM tool and contract templates
Compliance: 20%
Implement Airbus group directives and methods relating to export control, business ethics, and other compliance matters
Manage the design and implementation of comprehensive KYC and trade compliance (import and export) controls in coordination with Airbus functional subject-matter experts
Promote Airbus compliance culture and adherence to Airbus group compliance directives and methods, including management of training and education sessions for company personnel
Manage and coordinate with functional counterparts in the Airbus group legal and compliance function regarding compliance-related investigations and audits
Corporate Governance: 20%
Organize and prepare board materials and meeting minutes for board and shareholder meetings for US legal entities
Prepare board consents, shareholder consents, delegations of authority and other corporate documents for US legal entities
Maintain policies, procedures, and record-keeping for internal review and approval of commercial transactions and other company actions
Disputes: 10%
Analyze and provide strategic advice on pre-litigation commercial disputes and claims and contract risk management
Manage and respond to formal disputes and proceedings in coordination with the Airbus litigation and investigations team
Other duties: 5%
Support other functions as needed for projects and emergent matters relating to legal and compliance-adjacent topics (EH&S, security, insurance, quality, logistics, registrations and filings, etc.)
Oversee maintenance of state business registrations and service of process appointments
Support internal IP counsel to manage global trademark portfolio
Qualified Experience and Training: Education: Required
Juris Doctor (JD) degree from an accredited law school
Experience: Required
15+ years’ experience in a corporate legal department or law firm
Experience managing a legal and compliance team
Strongly Preferred
Experience in aircraft, engine, and spare part sales and leasing transactions
Experience in the used serviceable materials (USM) space
Experience managing export control and business ethics compliance programs
Licensure/Certifications: Required
Admission to a US state bar and in good standing

Minimally • Lifting: able to lift documents, tools, drawings, electronic equipment up to 30lbs/14kgs. Minimally • Pushing / Pulling: able to push and pull small office furniture and some equipment and tools. Minimally • Sitting: able to sit for long periods of time in meetings, working on the computer. Daily • Squatting / Kneeling: able to squat or kneel to retrieve or replace items stored on low shelving. Minimally • Standing: able to stand for discussions in offices or on the production floor. Regularly. • Travel: able to travel independently and at short notice. Very minimal amount if at all.
