SAP is seeking a Legal Counsel to work within its field legal organization in the Asia Pacific (APAC) region. Based in Kuala Lumpur, Malaysia, you will be a part of the APAC Regional Legal Center of Excellence team and will provide legal expertise for SAP and its business teams, particularly SAP’s sales teams, in various countries across the APAC region.
The successful candidate will provide legal advice on precontractual elements of the sales cycle such as non-disclosure / confidentiality agreements, preparation and negotiation of the legal aspects of contracts, working with other legal colleagues in the APAC region as part of an integrated team and carry out legal functions for other business units/practice areas such as real estate/facilities, corporate and company secretarial matters, procurement, marketing and communications.
Primary responsibilities include working with SAP’s Shared Delivery Hub (“SDH”) and Commercial Finance teams in support of their drafting of cloud, license, professional services and related agreements, negotiating agreements, drafting more complex legal language to address customer issues, all while working collaboratively with sales professionals, pricing and revenue recognition teams and others, in a fast-paced environment to help achieve SAP’s business growth strategies and objectives within SAP risk tolerances, and in accordance with SAP policies and applicable laws.
The successful candidate will also provide legal advice and counselling on a wide variety of matters, including AI, cloud contracts, data privacy, intellectual property, licensing and license compliance matters, employment issues and other ad-hoc legal advisory matters. Experience in the Cloud (software-as-a-service) / Technology / IT sector is strongly preferred.
Key to your success as a Legal Counsel will be your ability to:
- Draft, redline and negotiate contractual terms with customers, including cloud, software licensing, professional services agreements, data processing agreements, etc. for SAP’s Cloud, Software, and Professional Services business.
- Work closely with the Internal Sales, Commercial Finance and other experts in the area of cyber security, data privacy, etc during the drafting and negotiation process.
- Assist the commercial and sales teams with legal escalations relating to the transactions you are working on.
- Help achieve SAP’s business goals and objectives by serving as a true business partner, balancing legal risks appropriately against the commercial objectives.
- Identify contractual risks and suggest alternatives that lead to optimal solutions.
- Work with sales, finance and operations teams to ensure that contractual terms are compliant with legal, regulatory and company policies and risk preferences.
- Integrate legal, business, technical and practical analysis into the provision of legal advice.
- Assist in handling various field and corporate legal matters, including but not limited to non-disclosure/confidentiality agreements, real estate/facilities, procurement, marketing, privacy, intellectual property rights, and claims management matters.
Education and Skills:
- Tertiary qualifications in Law from an accredited law school.
- Licensed to practice law in law in a commonwealth jurisdiction
- 4-5 years of post-qualification legal experience (gained in either a reputable law firm or in-house legal environment).
- Preference is experience and expertise in (a) negotiating key terms for Cloud Agreements, such as data protection, security, compliance/regulatory, limitation of liability terms, etc. and (b) RFP responses for public sector customers, employment law matters including HR litigation and upcoming regulatory topics like data localisation, data privacy and local content requirements.
- Customer-service mindset, with strong written, communication and interpersonal skills with a high attention to detail.
- Team player with the ability to work collaboratively across multiple teams across APAC and communicate in a timely and responsive manner.
- Excellent/Fluent written and oral English.
- Inquisitive and not afraid to ask questions.
- You will work under supervision, but you show initiative, are motivated, self-driven and self-organizing. You are creative and demonstrate the ability to “think outside of the box”, meaning that you know when to adhere to established guidelines but you are able question established practices by suggesting new approaches that further the objectives and goals of SAP within its risk and compliance framework.
