TURATIOur office in Via Turati is a strategic hub, and home to all of the NGG Group staff functions. Turati is where the behind the scenes driving force of NGG is brought to life; this is harmonized with the archive exhibits of brand collaborations found throughout the office
THE ROLENew Guards Group is looking for a Legal Manager with a strong expertise in corporate Affairs matters who will report to the Head of Legal, Governance & CoSec.

WHAT YOU'LL DO

  • Organize Board of Directors Meetings as well as ordinary and extraordinary Shareholders Meetings of NGG Group companies: definition of the agenda, preparation of relevant documents and minutes (Italian and English versions), execution of Board and Shareholders resolutions and update of Companies Books and public registers.
  • maintain the official correspondence and communication links between directors, shareholders and employees;
  • implement Corporate Governance Procedures within NGG Group (i.e. Insiders Lists, Related Parties Transactions, etc.);
  • take part in NGG Group special projects, ensuring that they are in line with Corporate Governance of NGG Group;
  • give legal advice on Corporate Law;
  • coordinate the Italian and foreign consultants for corporate affairs matters;
  • support other members of the legal team.

WHO YOU ARE

  • Law Degree.
  • At least 6-8 years in a similar role in the fashion industry or in international Consultancies, Companies or Law Firm.
  • Being a qualified lawyer is preferred.
  • Strong experience in legal and corporate affairs.
  • Strong sense of integrity and confidentiality.
  • Accuracy and clarity in the preparation of documents.
  • Excellent communication skills.
  • Ability to work proactively, independently on multiple projects under tight timeframes.
  • High flexibility, with the ability to adapt to a fast-paced everchanging environment.
  • Fluent in legal and business English written and spoken (this will be tested in the interview process).
