About the team
Join our Commercial Operations team at the Adaptavist group embedded into veniture - Germany. The global COPS team is designed to be collaborative, such that team members can provide bandwidth to help one another on projects, share knowledge and experience, and develop common standards where possible. The team has 13 people and is based across the UK, Germany, Greece, US, Malaysia and Canada
About the role
This role will lead the development and management of contract and legal operations and processes, such as maintaining contract templates, defining processes, and coordinating with departments such as IT, sales, consulting, and HR. There is a specific focus on data protection and privacy matters from a compliance perspective – identify and implement improvements to our processes, procedures, documentation, and internal awareness/training. This role will also support the work of the veniture General Counsel with contract and legal matters, including contract reviews and negotiations.
What you'll be doing
-Independently review and negotiate (redline) legal terms of a broad range of standard commercial contracts (NDAs, MSAs, SOWs, software purchasing agreements, etc.) for clients, partners, suppliers, and others. -Signature of contracts of significant size, with recommendations to veniture General Counsel and the Head of Commercial Operations-Maintenance of documentation & information related to contracts, and within internal contractual IT systems Knowledge management and enforcement of processes.-Providing “peer reviews” of departmental contract redlines, and requesting such peer reviews to support a robust, quality-driven process-Work with process specialists who manage IT systems and knowledge (i.e. document repositories, FAQs, and wikis) associated with contracts and legal support.-Balancing risk mitigation with Adaptavist’s global strategy and prioritiesWork collaboratively to provide continuous improvement of cross-team training, playbooks, contract templates, and legal processes for contract management in general.-Data protection and privacy:Develop and maintain a good understanding of the company's business activities and applicable privacy laws/regulations; Monitor, track and assess relevant laws, regulations, and industry best practices;-Provide legal and operational guidance and advice on privacy-related matters and collaborate to assess and implement the privacy compliance program, including providing requirements for new data uses, cross-border data transfers, data subject rights, audits, incident preparedness and response and privacy risk management-Work with COPS team members to on drafting and negotiating commercial agreements in the context of privacy and data security-Work on company privacy compliance program(s), as needed - for example, records of processing, processes for data deletion, DPIAs-Help the rest of the company ensure that privacy measures are adequately implemented, including carrying out internal reviews/assessments, producing supporting documentation-Cooperate with business stakeholders, authorities, other legal entities, and organisational executive officers in privacy compliance reviews or investigations
What we're looking for
-Exposure to contracts, particularly in sales and procurement environment, from pre-sales to contract closeout.-Data protection, privacy and GDPR knowledge and experience-Comfortable dealing with typical complex enterprise systems/SaaS solution architectures -Ability to document architectures for products and services-Ability to work with technical teams, to understand data processing, risks, technical security measures-Marketing (including PECR and equivalent regulations) in relation to GDPR-Drafting and reviewing data processing terms (such as DPAs)-Perform risk assessments in relation to data protection, such as DPIAs-Translating complex data privacy legislation or legal advice into clear guidance for the business-Experience and understanding of analysing business processes for efficiencies.-Use of enterprise software tools (examples might include Jira, Microsoft Word, Excel, Google Sheets, HubSpot, etc.)-Solid mechanical and analytical ability, and ability to break down problems.-Willing to learn, take on new challenges, and resolve them methodically.-Excellent written and verbal communication skills (German (primary), and English)-Demonstrate the ability to work with deadlines and under pressure.-An ability to think innovatively and creatively.-Strong organisational and prioritisation skills-A combination of exposure to both legal and contract work and business operations. This may include, for example, a combination of some of the following: Law degree and a good level of contracts/legal experience / Bachelor’s degree and a good level contracts/legal experience-Extensive operational experience relating to operations management
