Job role: Senior Assistant Company Secretary
Salary: £75,000– £78,000 + up to 15% bonus per annum
Working location: Milton Keynes
Employment type: full time, permanent
Job summary:
Join NHBC as a Senior Assistant Company Secretary and become a key player in our mission to raise standards in house building and protect homeowners. Based in London & Milton Keynes, you will work within our Secretariat team to deliver top-tier company secretarial services. This role offers a unique opportunity to work in a dynamic environment, ensuring compliance with UK legal and regulatory standards while driving high standards of corporate governance across NHBC.
Responsibilities
What you’ll be doing
- Board and Committee Operations: Facilitate the seamless operation of boards and committees, including meeting planning, agenda setting, minute taking, and logistical coordination.
- Non-Executive Director Engagement: Collaborate with board and committee chairs and executive management to develop annual schedules and agendas, draft minutes, and oversee the effectiveness of board and committee processes.
- Corporate Governance: Execute various corporate governance projects, including the review of terms of reference, annual reporting requirements, director training programs, and effectiveness reviews.
- NHBC Council Management: Assist in managing Council activities, including succession planning, Council engagement, and AGM preparations.
- Advisory and Compliance: Provide authoritative advice on corporate governance and regulatory matters, ensure timely statutory filings, and maintain accurate corporate records.
- Governance Framework: Enhance and oversee the governance framework to ensure compliance with relevant UK governance and statutory requirements.
What we’re looking for
- Experience: A minimum of 5 years of post-qualification experience in a senior company secretarial role, preferably within a PRA/FCA regulated financial services environment.
- Skills: Exceptional communication skills, both written and oral, with the ability to engage confidently with a diverse range of stakeholders. Proficient in minute-taking, highly organized, and solution-oriented.
- Knowledge: Comprehensive understanding of company law, secretarial practice, corporate governance, and regulatory issues.
- Qualifications: Educated to degree level and Corporate Governance Institute (CGI) Qualified (Associate).
- Personal Attributes: Self-motivated, a strong team player, pragmatic thinker, and able to act with integrity and discretion.
